The associate who thrives here already thinks in term sheets and knows how a purchase agreement's reps and warranties shift risk in real time. You will counsel private equity sponsors through platform acquisitions, bolt-on deals, and divestitures across healthcare, technology, and industrials — often on tight timelines with sophisticated counter-parties. Much of the work is buy-side, with meaningful exposure to debt financing and portfolio-company governance.
What this firm is looking for
- 4–7 years of corporate transactional experience at a law firm
- Substantial private equity M&A or leveraged buyout work, including fund-side representation
- Experience negotiating acquisition documents, credit facilities, and equity arrangements
- Ability to manage diligences and closings with minimal oversight
- Admitted to practice in New York or eligible to waive in
