You will advise issuers and underwriters on high-yield and investment-grade debt offerings, IPOs, follow-on equity deals, and liability management transactions. The work is concentrated on public and private capital-raising for companies in technology, life sciences, and financial services. Expect to draft registration statements and indentures, coordinate with the SEC staff, and manage deal teams through closing. This is a steady diet of headline matters where the phone rings because of the firm's balance-sheet strength.
What this firm is looking for
- 3 to 6 years of capital markets experience at a recognized securities practice
- Deep familiarity with the Securities Act of 1933 and the Securities Exchange Act of 1934
- Track record of managing drafting and diligence for debt or equity offerings
- Active membership in the California bar or eligibility to register as in-house counsel
