You will guide public companies through registered equity and debt offerings, tender offers, and ongoing '34 Act reporting, while advising boards and special committees on fiduciary duties in M&A transactions. The practice also involves taking private companies public through IPOs and direct listings, drafting and negotiating complex commercial agreements, and managing day-to-day corporate governance for clients across real estate, hospitality, and financial services. This is counsel or mid-level associate work with direct client contact and a meaningful role in shaping deal strategy.
What this firm is looking for
- 8 to 12 years of corporate and securities experience at a sophisticated law firm
- Deep familiarity with the Securities Act of 1933 and the Securities Exchange Act of 1934
- Demonstrated ability to lead disclosure drafting and manage deal teams independently
- Strong academic credentials and active Florida Bar membership, or a willingness to obtain one promptly
