Partner / Of Counsel — Corporate
The practice centers on structuring cross-border funds, LP and GP-side venture capital formations, growth equity rounds, and complex secondary transactions for fund sponsors, development finance institutions, and impact-oriented asset managers. The work regularly involves negotiating credit-enhanced subscription facilities, hybrid debt instruments, and bespoke co-investment vehicles where fund finance and corporate structuring intersect. You will also advise portfolio companies on strategic acquisitions and board-level governance matters that arise mid-fund life. The role demands comfort drafting from term sheet through closing and managing lean deal teams without excessive leverage.
What this firm is looking for
- 10 to 20 years of corporate transactional experience, with meaningful time spent on fund formation, venture capital, or structured finance
- Deep familiarity with limited partnership agreements, subscription line documentation, and side-letter negotiations
- Track record of originating and managing client relationships with institutional investors, fund sponsors, or financial services firms
- Admission to the New York bar and experience handling cross-border deal mechanics
