Senior Corporate Paralegal
The Emerging Companies / Venture Capital and Finance & Restructuring teams are expanding their paralegal bench as deal volume shifts from pure growth equity to more complex recapitalizations and down-round financings. You will own the document flow for venture deals, debt restructurings, and secondary transactions—drafting ancillary agreements, managing electronic closing platforms, and tracking warrant and option records for portcos spanning fintech, climate tech, and health infrastructure. The work sits at the pressure point between founder-friendly term sheets and creditor workouts, so precision and regulatory awareness matter.
What this firm is looking for
- 6–15 years of corporate paralegal experience, with substantial time in venture capital, private equity, or restructuring transactions
- Deep familiarity with NVCA forms, SAFEs, convertible notes, credit agreements, and UCC Article 9 collateral requirements
- Proven ability to run closings independently, including scheduling, signature pages, and post-closing deliverables
- Experience with entity formation, cap table maintenance, and Blue Sky research
- Bachelor's degree required; paralegal certificate from ABA-approved program strongly preferred
