Emerging Companies + Venture Capital Associate Attorney (Mid-Level)
This role centers on representing high-growth technology and life sciences companies from incorporation through late-stage financings, alongside the venture capital funds that back them. You will lead term sheet negotiations, draft and negotiate NVCA-style financing documents, manage cap table and governance matters, and advise boards on day-to-day strategic decisions. The work also includes executing M&A exit transactions for founder-led businesses navigating competitive auction processes.
What this firm is looking for
- 4 to 6 years of emerging companies and venture capital experience at a recognized corporate practice.
- Demonstrated ability to run financing transactions independently, from initial term sheet through closing mechanics.
- Deep familiarity with NVCA model documents, capitalization tables, and corporate governance for private companies.
- Meaningful experience advising founders, boards, or venture capital funds on M&A exits.
- Active bar membership in the state where the chosen office is located, or eligibility to obtain admission promptly.
