You will structure priced equity rounds, convertible instruments, and SAFEs for venture-backed startups and the funds that back them. The work spans company-side formations through Series B and select fund-side formations and SPVs. Clients concentrate in SaaS, climate tech, and developer tools, and they rely on practical counsel that reflects real operating experience. You will also manage secondary transactions, partner-level liquidity programs, and day-to-day corporate governance.
What this firm is looking for
- 3 to 6 years of corporate transactional experience, concentrated in ECVC and emerging-company representation.
- Demonstrated fluency with NVCA-style documents, SAFEs, cap table mechanics, and 409A considerations.
- Experience running transactions independently while coordinating with specialists (tax, IP, executive compensation).
- Active bar membership in good standing in at least one U.S. jurisdiction.
- Strong written judgment and client-communication instincts honed in a leanly staffed practice.
